Terms of Service

Welcome to Fieldkit. These Terms of Service (the “Terms”) are a legal agreement between you and Ponderosa Printing LLC, doing business as Fieldkit (“Fieldkit,” “we,” “us,” or “our”), a custom printing company located at 320 West Simplot Blvd., Caldwell, Idaho 83605. They govern your access to and use of our website, online configurator, and printing, finishing, and fulfillment services (together, the “Services”).

By accessing the site, uploading a file, or placing an order, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Services. If you are ordering on behalf of a company or other organization, you represent that you have authority to bind it to these Terms.

1. Eligibility & accounts

You must be at least 18 years old, or the age of majority where you live, and able to enter a binding contract. We offer passwordless sign-in by email link, as well as guest checkout. You are responsible for keeping access to your email account secure and for all orders and activity associated with your account or checkout session. Notify us promptly of any unauthorized use.

2. Custom-made products

Almost everything we make is manufactured to order from your specifications and artwork. Products are not held in inventory; each job is produced specifically for you once you approve it. Because of this, custom orders are handled differently from off-the-shelf goods. Please review Sections 6 and 9 on proofing and cancellations before you order.

3. Quotes, orders & acceptance

Prices and quotes generated by the online configurator are estimates based on the options you select and are provided for your convenience. They do not constitute an offer and are not binding until we accept your order. Submitting an order is an offer by you to purchase. A contract is formed only when we confirm and accept your order and, where applicable, successfully process payment.

We may decline, cancel, limit, or place conditions on any order at our discretion: for example, due to suspected pricing or typographical errors, artwork or file problems, production capacity, content that violates these Terms, or suspected fraud. If we cancel an order for which you have already paid, we will refund the amount charged for the cancelled items.

4. Pricing, payment & taxes

  • Prices are in U.S. dollars unless stated otherwise and may change at any time before you order.
  • Payments are processed by our third-party processor, Stripe. By providing payment information you authorize us (and Stripe) to charge the order total shown at checkout, including products, shipping, and any applicable taxes.
  • You are responsible for any applicable sales, use, or similar taxes. For international shipments, you are responsible for all duties, customs charges, and import fees, which are not included in your order total.
  • We may correct pricing or typographical errors even after an order is submitted. If a price was materially wrong, we will contact you to proceed at the corrected price or cancel the order for a full refund.

5. Your content, artwork & the license you grant us

“Customer Content” means the files, artwork, images, logos, text, and other materials you upload or provide for your order. You represent and warrant that you own the Customer Content or have all rights, licenses, and permissions necessary to reproduce and print it, and that it does not infringe any intellectual-property, publicity, or privacy rights or violate any law.

You retain ownership of your Customer Content. You grant Fieldkit a limited, non-exclusive, royalty-free license to store, reproduce, and modify it as needed for production (for example, prepress normalization, color management, imposition, and proofing), and to print, finish, package, and ship it to fulfill your order and operate the Services. We may retain copies of your files for reprints, records, and dispute resolution as described in our Privacy Policy.

6. Proofs, color, quantities & your approval

You are responsible for carefully reviewing your files and any digital proof for spelling, grammar, layout, sizing, bleed, image quality, and content before approving them for production. Once you approve or submit an order for production, you accept responsibility for the Customer Content as provided, and we are not liable for errors it contains.

  • Color. Screen and proof previews are representations only. Printed color can vary due to substrate, printing process, lighting, and device differences. We color-manage to reasonable industry tolerances, but we do not guarantee an exact color match unless a specific, contracted color match is agreed in writing.
  • Tolerances. Minor variation in cutting, folding, registration, finishing, and trim within accepted industry tolerances is normal and is not considered a defect.
  • Quantities. We aim for exact counts; small overage or underage may occur on some processes consistent with industry practice.

7. Production & turnaround

Turnaround times are business-day estimates that begin after you approve your artwork and payment is received. They are estimates, not guarantees. Timelines may be affected by artwork or file issues, the time you take to approve proofs, stock availability, finishing complexity, and events outside our reasonable control.

8. Shipping & delivery

Shipping options and rates shown at checkout are provided through third-party carriers (via our logistics provider, EasyPost) and are estimates; transit times are not guaranteed. Unless a law requires otherwise, title and risk of loss pass to you when we deliver the products to the carrier. Where offered, local pickup is available at our facility. You are responsible for providing an accurate, complete shipping address; reshipment of packages that are undeliverable or returned due to an incorrect address may incur additional charges. 9. Cancellations, changes, returns & refunds

Because products are custom-manufactured for you, orders generally cannot be changed or cancelled once production has begun, and custom products are not eligible for return or refund except as set out here.

If a product you receive is defective or materially not what you ordered due to our error, contact us within 30 business days of delivery with your order number and photographs of the issue. Our sole obligation, and your exclusive remedy, is, at our option, to reprint or replace the affected items or to issue a credit or refund for them. We are not responsible for errors in Customer Content you approved, color variation within tolerance, or delays or damage outside our reasonable control.

We may, at our discretion and as a courtesy, offer accommodations beyond what these Terms require. Doing so does not waive these Terms and does not obligate us to offer the same in the future.

10. Acceptable use & prohibited content

You agree not to use the Services to produce or transmit content that:

  • you do not have the rights to reproduce, or that infringes any third party’s rights;
  • is counterfeit, or reproduces currency, government identification, or protected marks unlawfully;
  • is unlawful, defamatory, harassing, or promotes violence or hatred against people or groups; or
  • otherwise violates any applicable law or these Terms.

We may refuse, hold, or cancel any job that we believe violates this section, and we may report unlawful content as required by law.

11. Our intellectual property

The Services, including the site, our name and branding, text, graphics, layouts, and software, are owned by Fieldkit or its licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-transferable license to access and use the site to browse and place orders. You may not copy, scrape, reverse engineer, resell, or otherwise misuse the Services.

12. Third-party services

We rely on third parties, including Stripe for payments and EasyPost and shipping carriers for delivery. Your use of those services may be subject to their own terms, and we are not responsible for their acts or omissions.

13. Disclaimer of warranties

Except as expressly stated in these Terms, the Services and products are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.

14. Limitation of liability

To the fullest extent permitted by law, Fieldkit and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of or relating to the Services or your order. Our total aggregate liability for any claim will not exceed the amount you paid for the order giving rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless Fieldkit from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your Customer Content, your use of the Services, your breach of these Terms, or your violation of any law or third-party right.

16. Governing law & disputes

These Terms are governed by the laws of the State of Idaho, without regard to its conflict-of-laws rules. You agree that the exclusive venue for any dispute not otherwise resolved will be the state or federal courts located in Canyon County, Idaho, and you consent to their jurisdiction.

17. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above, and the updated Terms take effect when posted. The version in effect at the time you place an order governs that order. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

18. Termination

We may suspend or terminate your access to the Services at any time if you violate these Terms or to protect the Services or other customers. Sections that by their nature should survive termination, including content licenses granted for work already produced, disclaimers, limitations of liability, and indemnification, will survive.

19. General

These Terms, together with our Privacy Policy and any order-specific terms, are the entire agreement between you and Fieldkit regarding the Services. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control.
